These Terms & Conditions (“Terms”) govern access to and use of the SightifyAds website and establish the general terms under which SightifyAds LLC (“SightifyAds,” “we,” “us,” or “our”) offers professional marketing, advertising, website, e-commerce, creative, technology, consulting, and related digital services.
By accessing or using our website, submitting information through our website, purchasing or authorizing services, accepting a proposal, approving a project, or otherwise engaging with SightifyAds, you acknowledge these Terms together with our applicable Privacy Policy, Cancellation & Refund Policy, and any project-specific agreement governing your engagement.
Where a proposal, Service Agreement, Statement of Work, insertion order, order form, subscription agreement, or other written agreement contains terms that differ from these general Terms, the project-specific written agreement will control with respect to that engagement to the extent permitted by applicable law.

The specific services provided to an individual client are determined by the applicable proposal, agreement, or Statement of Work.
2. Website Use Does Not Create a Client Relationship
Accessing the SightifyAds website, viewing our materials, submitting a Project Inquiry Form, requesting information, or communicating with SightifyAds does not by itself create a client-agency relationship, contractual engagement, partnership, joint venture, fiduciary relationship, or obligation for SightifyAds to accept a project.
A professional engagement begins only when SightifyAds has expressly accepted the engagement and any required commercial conditions, approvals, agreements, and payments have been satisfied.
SightifyAds reserves the right to accept or decline any prospective engagement at its discretion, subject to applicable law.
3. Eligibility and Authority
You must be legally capable of entering into a binding agreement to purchase or authorize services from SightifyAds.
If you act on behalf of a company, organization, partnership, corporation, limited liability company, or other entity, you represent that you possess the authority necessary to bind that entity to the applicable agreement.
You are responsible for ensuring that information submitted to SightifyAds is accurate, complete, and authorized.
4. Acceptable Use of the Website
The SightifyAds website may be used only for lawful purposes.
You may not:
Attempt to gain unauthorized access to the website, systems, infrastructure, accounts, or data
Introduce viruses, malicious code, malware, or other harmful technology
Interfere with website functionality or security
Use the website for fraudulent or unlawful activity
Impersonate another person or entity
Submit false, misleading, abusive, or malicious information
Attempt to circumvent technical or security measures
Copy, reproduce, republish, or commercially exploit protected SightifyAds materials without authorization
Use automated systems to extract protected website content in violation of applicable law or these Terms
Nothing in these Terms is intended to restrict legitimate search engine indexing or other activity expressly authorized by SightifyAds.
5. Services and Scope of Work
Every client engagement is governed by an agreed scope of work.
The scope may identify:

Pages
Features
Timelines
Milestones
Client responsibilities
Revision allowances
Fees
Payment schedules
Advertising budgets
Third-party expenses
Contract duration
Renewal or cancellation provisions
SightifyAds is responsible only for services expressly included within the applicable scope.
Services, deliverables, functionality, campaigns, pages, integrations, platforms, revisions, or other work not included in the original scope may require additional fees and written approval.
6. Client Responsibilities
Successful delivery of SightifyAds services may depend on timely cooperation from the client.
Clients may be required to provide:
Accurate business information
Brand assets
Logos
Photographs
Video
Product or service information
Website content
Account credentials or authorized access
Advertising account access
Domain or hosting access
Platform permissions
Legal disclosures
Approvals
Feedback
Payment information
Other materials reasonably necessary to perform the engagement
The client is responsible for the accuracy, legality, ownership, authorization, and completeness of materials supplied to SightifyAds.
Delays resulting from missing information, delayed approvals, lack of access, client inactivity, or other client-controlled circumstances may affect delivery schedules and do not automatically create a right to a refund.
7. Proposals, Service Agreements, and Statements of Work
SightifyAds may use proposals, Service Agreements, Statements of Work, order forms, insertion orders, subscription agreements, or other written documents to establish project-specific commercial terms.
A proposal or estimate does not obligate SightifyAds to commence work until the engagement has been accepted and any required agreement, authorization, deposit, or initial payment has been completed.
Unless otherwise stated, changes requested after approval may require a revised scope, timeline, and fee.
8. Stripe Payment Processing
All client payments to SightifyAds are processed through Stripe unless SightifyAds expressly agrees otherwise in writing.
This applies to payments including:
Project deposits
Setup fees
Initial payments
One-time project fees
Professional service fees
Campaign setup fees
Website fees
Development fees
Milestone payments
Retainers
Monthly management fees
Recurring service fees
Additional authorized work
Other amounts due under an engagement
SightifyAds uses Stripe to maintain centralized professional billing, invoicing, payment records, and receipts.
Clients are responsible for providing accurate billing information and maintaining a valid payment method where required.
A payment obligation is not considered satisfied until the applicable payment has been successfully processed.
9. One-Time Projects and Invoices
One-time services and project-based engagements are invoiced through Stripe.
Depending on the applicable engagement, SightifyAds may require:
Payment in full before work begins
A non-refundable initial deposit
Scheduled milestone payments
Progress payments
Final payment before publication, launch, transfer, or delivery
Another payment structure expressly established in writing
The applicable proposal, Service Agreement, Statement of Work, or Stripe invoice will establish the payment schedule for the engagement.
SightifyAds may pause, delay, withhold, or suspend work, launch, transfer, publication, delivery, or access while required payments remain outstanding.
10. Recurring Billing and Automatic Payments
Monthly retainers, advertising management, marketing management, website maintenance, ongoing SEO, recurring consulting, automation services, and other recurring engagements are billed through Stripe automatic recurring billing.
By purchasing or authorizing a recurring service, the client authorizes SightifyAds, through Stripe, to charge the authorized payment method for the applicable recurring fees according to the agreed billing schedule.
Clients are responsible for maintaining an active and valid payment method for the duration of a recurring engagement.
Recurring services continue according to the applicable agreement until properly canceled, terminated, or otherwise concluded.
Where applicable law requires renewal notices, cancellation mechanisms, disclosures, or other protections, SightifyAds will comply with those requirements.
Cancellation ordinarily affects future billing periods and does not automatically create a refund or prorated refund for a service period that has already begun, except as required by law or expressly provided in the applicable written agreement.
11. Failed, Declined, or Past-Due Payments
If any payment is:
Declined
Failed
Reversed
Disputed
Blocked
Returned
Otherwise unpaid
SightifyAds may pause or suspend services until the outstanding balance has been resolved.
This may include suspension of:
Campaign management
Advertising optimization
Website work
Website maintenance
Development
Consulting
Creative production
Reporting
Support
Automation
Deliverables
Other ongoing services
SightifyAds is not obligated to continue providing professional services while an account remains past due.
Suspension caused by nonpayment does not automatically extend an engagement period or create a right to a refund.
12. Advertising Spend and Media Budgets
Advertising spend and media budgets are separate from SightifyAds professional service and management fees.
Advertising expenditures may be charged directly by third-party platforms including:
Google
Meta
Facebook
Instagram
LinkedIn
TikTok
Spotify
YouTube
Microsoft
Other advertising or media platforms
The client is responsible for advertising costs associated with campaigns, budgets, accounts, and spending levels authorized by the client.
SightifyAds does not issue refunds for advertising funds collected directly by third-party platforms.
Third-party advertising charges remain subject to the policies, billing systems, terms, credits, and refund procedures of the applicable platform.
13. Third-Party Platforms and Services
SightifyAds services may depend upon or integrate with third-party companies, products, systems, platforms, applications, and services.
These may include, without limitation:
Google
Meta
LinkedIn
TikTok
Spotify
YouTube
Microsoft
Stripe
Framer
Shopify
Domain registrars
Hosting providers
Analytics platforms
Email providers
Automation platforms
API providers
Social networks
Other technology vendors
SightifyAds does not control third-party platforms and cannot guarantee their continuous availability, functionality, approval processes, policies, pricing, algorithms, account decisions, or technical performance.
Third parties may modify, restrict, suspend, reject, or discontinue products, advertisements, accounts, APIs, integrations, or services without SightifyAds' control.
Use of third-party services may also be subject to the applicable third party's own terms, privacy policies, and billing practices.
14. Third-Party Costs
Unless expressly included in a written scope, third-party expenses are separate from SightifyAds professional fees.
These may include:
Advertising spend
Domains
Hosting
Framer subscriptions
Shopify subscriptions
Applications
Plugins
Software
API usage
Automation platforms
Licensed media
Stock assets
Fonts
Contractors
Vendors
Other external services
Once purchased, activated, reserved, committed, or incurred, third-party expenses are not refundable by SightifyAds.
15. Cancellation and Refunds
Cancellations, refunds, deposits, recurring service cancellations, third-party expenses, advertising spend, billing errors, and related matters are governed by the SightifyAds Cancellation & Refund Policy together with any applicable project-specific agreement.
Clients are responsible for reviewing the applicable Cancellation & Refund Policy before authorizing services.
Where a specific written agreement establishes different cancellation or refund provisions, that agreement will control to the extent permitted by law.
16. No Guarantee of Advertising, SEO, or Business Results
SightifyAds applies professional strategy, research, implementation, optimization, creative judgment, and industry practices to its engagements.
However, unless expressly guaranteed in a separate written agreement executed by SightifyAds, no specific advertising, marketing, SEO, financial, or business outcome is guaranteed.
Results may depend upon factors outside SightifyAds' control, including:
Market conditions
Competition
Advertising budgets
Industry conditions
Client pricing
Client offers
Sales processes
Website conversion performance
Consumer demand
Geography
Seasonality
Platform auctions
Platform algorithms
Search engine algorithms
Platform policies
Account history
Economic conditions
Third-party technology
Client actions or omissions
SightifyAds does not guarantee a particular number or level of:
Leads
Calls
Customers
Sales
Conversions
Revenue
Search rankings
Clicks
Impressions
Followers
Website traffic
Return on advertising spend
Return on investment
Other performance metrics
Past results, portfolio examples, case studies, testimonials, performance data, projections, estimates, or illustrative results do not guarantee future performance.
17. Intellectual Property
SightifyAds retains ownership of its pre-existing intellectual property, methodologies, processes, systems, frameworks, strategies, internal tools, templates, reusable components, know-how, concepts, and other proprietary materials developed independently of a particular client engagement.
Subject to full payment and the applicable written agreement, clients may receive ownership or usage rights to final deliverables specifically identified as transferable client deliverables.
Unless otherwise agreed in writing:
Unused concepts remain the property of SightifyAds
Preliminary work remains the property of SightifyAds
Internal processes and methodologies remain proprietary
Reusable systems, frameworks, templates, and know-how are not transferred
Third-party materials remain subject to their applicable licenses
Open-source components remain subject to their applicable licenses
No intellectual property rights are transferred until all amounts required for the applicable deliverable have been paid in full.
18. Client-Provided Materials and Intellectual Property Rights
The client represents that it owns, licenses, or otherwise possesses sufficient rights to all content and materials supplied to SightifyAds.
Such materials may include:
Logos
Trademarks
Photography
Video
Music
Written content
Product information
Customer data
Graphics
Brand assets
Software
Fonts
Other intellectual property
The client is responsible for ensuring that its materials do not unlawfully infringe the copyright, trademark, privacy, publicity, contractual, or other rights of third parties.
SightifyAds may rely upon the client's representation that materials provided for use are properly authorized.
19. Confidential Information
SightifyAds and its clients may exchange non-public business, technical, strategic, financial, account, or commercial information during an engagement.
Where a separate confidentiality agreement or nondisclosure agreement applies, that agreement will govern the treatment of confidential information.
SightifyAds will not intentionally publish confidential client information as a case study, testimonial, or identifiable portfolio disclosure where a binding confidentiality obligation prohibits such use.
20. Privacy and Data
Information collected through the SightifyAds website is handled according to the SightifyAds Privacy Policy.
Clients remain responsible for ensuring that data, customer lists, audience information, credentials, or other information supplied to SightifyAds has been lawfully collected and may lawfully be used for the requested purpose.
Where third-party platforms process data, their respective privacy terms and policies may also apply.
21. Suspension or Termination by SightifyAds
SightifyAds may suspend or terminate an engagement where reasonably necessary, including in circumstances involving:
Material breach of an agreement
Nonpayment
Fraudulent or unlawful activity
Unauthorized use of services
Security risks
Misrepresentation
Violation of applicable platform policies
Conduct that exposes SightifyAds or a third party to material legal or operational risk
Failure to provide essential cooperation necessary to perform the engagement
Termination does not eliminate payment obligations for services already performed, approved expenses, third-party costs, completed milestones, or other amounts legitimately due.
Any termination-specific rights contained in an applicable Service Agreement will control.
22. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the SightifyAds website and services are provided on an “as available” basis and without warranties not expressly stated in an applicable written agreement.
SightifyAds does not warrant that:
The website will operate without interruption
Third-party platforms will remain continuously available
Advertising platforms will approve particular campaigns or accounts
Search engines will maintain particular rankings
Algorithms or platform policies will remain unchanged
Third-party integrations will remain compatible
Any particular commercial result will be achieved
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.
23. Limitation of Liability
To the maximum extent permitted by applicable law, SightifyAds will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to the website, services, third-party platforms, or an engagement, including loss of profits, revenue, data, business opportunity, goodwill, or anticipated savings.
To the maximum extent permitted by law, SightifyAds' aggregate liability arising from a particular engagement will not exceed the total professional service fees actually paid to SightifyAds for the specific engagement giving rise to the claim.
This limitation does not apply to liability that applicable law does not permit the parties to exclude or limit.
24. Indemnification
To the extent permitted by law, the client agrees to defend, indemnify, and hold harmless SightifyAds and its members, personnel, contractors, and representatives from third-party claims, damages, liabilities, costs, and expenses arising from:
Materials supplied by the client
Client instructions
Client products or services
Client representations or claims
Unauthorized or unlawful use of third-party intellectual property
Client violations of applicable law
Client violations of third-party platform terms
Client breach of an applicable agreement
This provision does not require indemnification for liability that cannot legally be shifted under applicable law.
25. Force Majeure
SightifyAds will not be responsible for delay or failure to perform caused by circumstances beyond its reasonable control.
Such circumstances may include:
Natural disasters
Severe weather
Fire
Flood
War
Civil disturbance
Government action
Power failures
Internet failures
Cyber incidents
Platform outages
Telecommunications failures
Labor disruptions
Public emergencies
Third-party service interruptions
Other events beyond reasonable control
SightifyAds will use commercially reasonable efforts to resume affected services when practicable.
26. Electronic Communications and Agreements
The parties may communicate, approve work, authorize payments, accept agreements, and execute documents electronically.
To the extent permitted by applicable law, electronic records, electronic approvals, electronic acceptance, checkout authorizations, and electronic signatures may be used in connection with SightifyAds engagements.
Clients are responsible for maintaining accurate contact and billing information.
27. Governing Law
Unless a project-specific written agreement provides otherwise, these Terms and matters arising from use of the SightifyAds website will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any project-specific dispute resolution, jurisdiction, venue, mediation, arbitration, or litigation provisions contained in a signed Service Agreement or other binding engagement document will control with respect to that engagement.
28. Changes to These Terms
SightifyAds may update these Terms from time to time to reflect changes in:
Services
Technology
Business operations
Payment practices
Third-party platforms
Regulatory requirements
Applicable law
The Effective Date displayed at the beginning of these Terms identifies the most recent version.
Material changes will apply prospectively except where otherwise permitted or required by applicable law or an existing written agreement.
29. Severability and Waiver
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
A failure by SightifyAds to enforce a provision on one occasion does not constitute a waiver of its right to enforce that provision or another provision in the future.
30. Assignment
Clients may not transfer or assign an engagement, agreement, or material obligation without SightifyAds' prior written consent where such consent is reasonably required.
SightifyAds may assign its rights or obligations in connection with a merger, acquisition, corporate reorganization, sale of assets, or other lawful business transaction, subject to applicable law and contractual restrictions.
31. Order of Precedence
For a specific client engagement, the applicable documents will generally be interpreted in the following order where provisions directly conflict:
A signed or expressly accepted project-specific Service Agreement
An applicable Statement of Work, insertion order, or order form
An accepted proposal
These Terms & Conditions
The general Cancellation & Refund Policy
A more specific written provision applicable to a particular engagement will control over a more general provision to the extent of the conflict and to the extent permitted by law.
